💡 Accountant's Note
Legal fees are a general administrative expense. Fees directly related to a specific project (construction contract, grant agreement) may be capitalized into that project's cost.
Practitioner & Systems Framework
💻 ERP Architecture
Legal fees are processed through the AP module with the legal firm as an approved vendor. Invoices are reviewed by the CFO or legal counsel before approval. Legal fees are expensed to the legal and professional fees account unless they relate directly to a capital project (in which case they are capitalised into the project cost). Accruals are made for legal services received but not yet invoiced at period-end, based on estimates from the legal team. Significant litigation matters require a contingent liability assessment under IAS 37.
⚠️ Audit Flags
Auditors review significant legal fee accruals and confirm the basis. Obtain confirmations from external legal counsel regarding material litigation matters — legal confirmations are a standard audit procedure. Assess whether any ongoing litigation requires a provision or contingent liability disclosure under IAS 37. Confirm that legal fees related to capital projects are correctly capitalised. Review legal fee trends — a spike may indicate employment disputes, regulatory investigations, or contract disputes requiring disclosure.
