From the STARTUP'S perspective: the SPV is a single investor — one cap table entry, one SAFE or note or preferred share certificate. The startup does not see the individual underlying investors. The accounting treatment (SAFE, note, or preferred) is identical to any other investor — the SPV structure is irrelevant for the startup's accounting. From the SPV's perspective (if the startup is also maintaining the SPV's books): the SPV holds an investment in the startup, typically at cost adjusted for valuation changes under ASC 321 (equity securities) or ASC 323 (equity method).
