💡 Accountant's Note

Series A rounds typically issue preferred shares with liquidation preferences. Preferred stock is shown separately from common stock in the equity section of the balance sheet.

Preferred stock must be assessed for liability vs. equity classification under IAS 32. Mandatory redeemable preferred stock is a financial liability; non-redeemable with discretionary dividends is equity. Most VC preferred stock is equity-classified. Set up a separate Preferred Stock account in the ERP with a sub-classification by series (Series A, Series B). Transaction costs are deducted from APIC — Preferred Stock.

⚠️ Audit Flags

Auditors will review the Series A term sheet and stock purchase agreement for: (1) liquidation preference terms (1x, 2x, participating), (2) anti-dilution provisions, (3) mandatory vs. optional redemption. Participating preferred with a high liquidation preference may require fair value disclosure in the notes. The classification of preferred stock as equity vs. mezzanine vs. liability is a key audit judgment.
