In the SPV's standalone accounts: record the parent loan as a financial liability under IFRS 9. Assess whether the loan is interest-bearing (market rate) or interest-free — if interest-free (or below market), IFRS 9 requires the loan to be measured at fair value at inception (which for a below-market loan means deducting the imputed interest benefit, recognizing a contribution from the parent as equity). In consolidated accounts, the intercompany loan and any interest expense/income are eliminated on consolidation.

⚠️ Audit Flags

Auditors test whether below-market intercompany loans have been correctly measured at fair value with the discount recognized as a capital contribution from the parent. This is a common omission — companies often record intercompany loans at face value, understating the parent's equity investment in the SPV. Transfer pricing regulations may also require intercompany loans to be at arm's length rates.
