Due diligence costs directly attributable to acquiring a specific property are capitalized as part of the asset cost. If the deal falls through, these costs are expensed immediately.

Initially accumulate pre-acquisition due diligence costs in a 'Pending Acquisition' suspense account or CIP sub-account. Once the acquisition completes, transfer these costs to the property fixed asset. If the acquisition does not complete, expense immediately (see re-failed-acquisition-costs-expensed). Only directly attributable due diligence costs for a specific property qualify — general portfolio scanning costs or internal staff time (unless directly tracked) are typically expensed.

⚠️ Audit Flags

Auditors check that capitalized due diligence costs relate specifically to the property acquired and were incurred as part of the acquisition process (not general business development overhead). For any costs accumulated in a suspense account that relate to acquisitions that did not complete, immediate write-off to expense is required. The write-off test should be applied at each reporting date for all pending acquisition costs.
