How to Record a Subscription Credit Facility Drawdown to Fund a Portfolio Investment

Recording a drawdown on the fund's subscription credit facility used to fund a portfolio investment before a formal capital call is issued to LPs.

Subscription Credit Facility PayableLiability (+)-6,000,000.00

💡 Accountant's Note

Subscription lines (or 'capital call lines') allow GPs to fund investments quickly without waiting for LP capital calls (which can take 10 business days). The credit line is secured by LP unfunded commitments. The drawdown is recognized as a liability of the fund. A subsequent capital call is issued to repay the facility, at which point the liability is extinguished and replaced with LP capital contributions.

Practitioner & Systems Framework

💻 ERP Architecture

The credit facility balance must be included in the fund's NAV calculation as a liability. Heavy use of subscription lines can inflate IRR metrics by compressing the time period between LP capital calls and distributions — a practice increasingly scrutinized by LPs and regulators. Track the facility balance, maturity date, and interest rate.

⚠️ Audit Flags

Auditors assess whether the credit facility is appropriately classified as short-term or long-term and whether the interest expense is properly accrued and allocated to LP capital accounts. LP advisory board consent may be required per the LPA for facilities above certain thresholds.

📄 Required Documentation

Credit agreement with the lending bank, borrowing base certificate, facility drawdown notice, collateral schedule (LP unfunded commitments pledged), LPAC consent (if required by LPA).
