💡 Accountant's Note

Placement agent fees are paid by the fund or the GP (per LPA terms) to registered broker-dealers who source LP commitments. When borne by the fund, these are an expense that reduces LP NAV. Some LPAs allow placement fees to offset management fees. SEC regulations require placement agents to be registered broker-dealers under Dodd-Frank.
