💡 Accountant's Note
Placement agent fees are paid by the fund or the GP (per LPA terms) to registered broker-dealers who source LP commitments. When borne by the fund, these are an expense that reduces LP NAV. Some LPAs allow placement fees to offset management fees. SEC regulations require placement agents to be registered broker-dealers under Dodd-Frank.
Practitioner & Systems Framework
💻 ERP Architecture
Classify separately from organizational costs. If the LPA specifies that placement fees offset management fees, record the offset at the time of fee billing. Track the total placement fees paid per LP introduced for regulatory disclosure.
⚠️ Audit Flags
Auditors verify the placement agent is a registered broker-dealer (FINRA/SEC registered) to assess regulatory compliance. The fee calculation will be rechecked against the placement agreement and LP commitment amounts.
📄 Required Documentation
Placement agent agreement, FINRA registration confirmation, closing certificate of LP commitments, fee calculation schedule, wire transfer confirmation.
