Earnouts are contingent consideration paid by the buyer if the portfolio company achieves specific revenue, EBITDA, or other milestones post-closing. The fund initially records the earnout at estimated fair value (probability-weighted). When actually received, any difference from the estimated fair value is recognized as additional realized gain or loss. Earnouts can extend 2–5 years post-exit.
