Minimum guarantees (MGs) are common in content licensing, music, gaming, and publishing — the licensee pays a minimum amount upfront regardless of actual usage/sales, which is then recouped against earned royalties. If actual royalties exceed the MG, the licensor receives additional payment. If actual royalties are below the MG, the licensee absorbs the loss (the MG represents their floor cost). For the licensor: the MG is deferred and recognized as the underlying royalty event occurs (streams, sales, plays). If actual royalties are expected to exceed the MG, it's recognized over time as royalties are earned; if the MG is expected to exceed royalties (the licensee won't earn it out), the MG is recognized ratably over the license term.

When earned royalties exceed prior MG recognition, the additional amount is recognized as revenue. Auditors assess whether the MG is being recognized appropriately — if actual royalties consistently lag the MG, the MG should be recognized ratably (the licensor has a floor that will be their realized revenue). Premature MG recognition (before the underlying performance obligation is satisfied) is a revenue overstatement. The distinction between MG recognition and the recognition of 'true-up' royalties above the MG must be clearly tracked.
