💡 Accountant's Note
When a franchisor repurchases a franchise location (either to operate as a corporate store or to resell to a new franchisee), the acquisition is recorded at purchase price. The cost is allocated among identifiable assets acquired (equipment, inventory) and reacquired franchise rights (the intangible representing the right to operate and re-grant the franchise in that location). The reacquired franchise right is amortized over the remaining term of the original franchise agreement reacquired.
Practitioner & Systems Framework
💻 ERP Architecture
Perform a purchase price allocation (PPA) at the acquisition date. The reacquired franchise right is amortized over the remaining original franchise term (ASC 805 for business combinations, ASC 350 for asset acquisitions). If the location is subsequently refranchised, the reacquired right is derecognized.
⚠️ Audit Flags
Auditors verify the purchase price allocation methodology and challenge the value assigned to reacquired franchise rights vs. tangible assets. If the acquisition constitutes a business combination under ASC 805, full goodwill accounting applies.
📄 Required Documentation
Franchise purchase agreement, purchase price allocation, independent appraisal of equipment and inventory, franchise agreement showing remaining term, board approval for reacquisition.
