💡 Accountant's Note

Gift card sales do not generate immediate revenue — the obligation to provide future goods or services is a liability (deferred revenue) until the card is redeemed. Under ASC 606, revenue is recognized when the customer redeems the card (performance obligation satisfied). In most franchise systems, gift cards are managed at the franchisor level (enterprise-wide cards) or the local franchisee level. Breakage (cards that will never be redeemed) is recognized as revenue based on estimated redemption patterns.

Practitioner & Systems Framework

💻 ERP Architecture

If the franchisor manages gift cards centrally, the franchisee may remit the proceeds to the franchisor and not record the deferred revenue. If local, maintain a gift card liability balance in the POS system and general ledger. Ensure gift card balances are included in royalty-base gross sales only upon redemption (not when sold).

⚠️ Audit Flags

Auditors verify that gift card sales are excluded from royalty-base gross sales until redeemed. For franchisors with centrally managed gift cards, the unredeeemed balance must be properly reflected as a liability. Breakage estimation methodology must be reasonable and consistently applied.

📄 Required Documentation

Gift card program agreement (franchisor vs. franchisee-managed), POS gift card balance reports, breakage estimation methodology, redemption history data.
