💡 Accountant's Note
The FDD must be updated annually and registered in 14 registration states before the franchisor can offer or sell franchises in those states. Annual FDD preparation costs include franchise attorney fees, audit fees for required financial statements, and state registration fees. These are period operating costs expensed as incurred. The FDD must be provided to prospective franchisees at least 14 calendar days before they sign any agreement or pay any money.
