💡 Accountant's Note
Area Representatives (different from master franchisees — ARs do not sub-franchise; they recruit and support franchisees on behalf of the franchisor) pay an upfront fee for territorial rights. ARs earn a percentage of ongoing royalties and initial fees for franchisees they develop in their territory. The AR fee is recognized under ASC 606 over the AR's service period as the territorial development and franchisee support obligations are met.
Practitioner & Systems Framework
💻 ERP Architecture
Track area representative territories and the franchisees assigned to each AR. Revenue recognition from AR fees should align with the AR's ongoing service performance (franchisee support). Royalty splits to ARs are an ongoing operating expense (commission) for the franchisor.
⚠️ Audit Flags
Auditors assess whether the AR arrangement creates a separate performance obligation beyond the territorial license grant. If the AR provides ongoing franchisee support services over the term, revenue should be deferred and recognized over the AR's service period.
📄 Required Documentation
